We’re looking for a Deputy Company Secretary to join us and do things differently.

In this pivotal and exciting role, reporting to the Group Company Secretary, you'll take a lead role in ensuring the smooth running of the day-to-day company secretarial and governance matters of the Wise Group and its subsidiaries. You will oversee an international company secretarial team consisting of at least 8 governance professionals alongside the Group Company Secretary.
This is an important role in the Wise Group with an expectation that you will provide leadership and influence in a fast paced environment.


Job Description

What you’ll do.

Leadership

  • Oversight and development of the Company Secretarial Team

  • Along with the Group Company Secretary, develop and maintain the right culture, behaviours and standards across the team

  • Drive continuous improvements in policies, procedures and governance advisory service

  • Support the Group Company Secretary with cost management for the Company Secretarial Team.

Governance

  • Manage and deliver effective governance support to the Board and Committees of Wise plc, acting as secretary to committees and other meetings as required.

  • Along with the Group Company Secretary, ensure that governance procedures and processes adhere to best practice standards and expectations

  • Advise on key governance and regulatory matters

  • Support with shareholder management

  • Deputise for the Group Company Secretary, as required

Subsidiary Compliance

  • Responsible for the development and implementation of Subsidiary Governance frameworks and best practice for all Wise Group subsidiaries

  • Oversee members of the Company Secretarial team to ensure the highest standards of subsidiary governance and compliance with statutory and regulatory obligations

  • Act as the point of escalation for issues arising and ensuring their appropriate resolution

Listed Company Obligations

  • Ensure compliance with legal, regulatory and listing requirements relevant to Wise plc

  • Provide guidance on the Disclosure and Transparency Rules, MAR and managing the timely disclosure of information

  • Oversee the management of the Wise plc AGM, the production of AGM documents and dealing with emerging AGM issues

  • Alongside the Group Company Secretary, oversight of Company Secretarial’s production of the Annual Report, including the drafting and review (as appropriate) of the corporate governance report, directors’ report and related disclosures and ancillary documents and delivery of other year end processes.

  • Oversee the preparation, compliance, review and release of regulatory announcements

Project Work

  • Advise and support on the company secretarial aspects of any major corporate actions and transactions

  • Work with cross-functional teams including Legal, Tax, Treasury, Legal, and external advisers to deliver projects


Qualifications

The experience, background and competencies needed to succeed in this role.

  • Qualified Chartered Secretary (ICSA) or qualified lawyer

  • Minimum of 10 years' experience working in a senior company secretary role in a listed and complex international group

  • Solid experience in managing and leading a global team

  • Strong background in UK and international subsidiary governance, ideally within financial services

  • Excellent understanding of the Companies Act, Listing Rules, and other relevant legislation

  • Have strong technical and analytical skills, with the ability to think broadly on issues and apply sound judgement in problem solving

  • Strong project management and organisational skills

  • Ability to work effectively under pressure and meet deadlines

  • Excellent communication and interpersonal skills, with the ability to build strong relationships and influence stakeholders at all levels

  • Meticulous attention to detail and a commitment to accuracy

  • Be adaptable to a fast changing and dynamic environment

  • Be a influential lead, focusing on development for the team
